Terms of Service

Welcome to MyMemory (becoming Everstash). MyMemory is operated by Rock Nest LLC, a New Jersey limited liability company ("we", "us"). By creating an account or using the web app, browser extension, API or any related service (the "Service"), you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

1. Who can use the Service

You must be at least 13 years old to use the Service. If you are under the age of majority where you live, you may use it only with the permission of a parent or guardian who agrees to these terms. The Service is not directed at children under 13, and we do not knowingly collect their personal information. If you believe a child under 13 has an account, contact us and we will delete it.

2. Your account

You are responsible for your account and for activity under it. Keep your sign-in details secure and tell us promptly at support@mymemory.dev if you think your account has been accessed without permission.

3. The Service

MyMemory lets you save content from the web and other sources, organize it, search it, and work with it using AI features such as chat, summaries and suggestions. We may add, change or remove features over time.

4. Your content

  • You own your content. Notes, files, links and other material you save or upload ("Your Content") remain yours.
  • Permission to run the Service. You give us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, copy and display Your Content only as needed to provide, secure and improve the Service for you, including sending it to the AI and infrastructure providers listed in our Privacy Policy. This license ends when you delete Your Content or your account, except for copies in backups that are deleted on their normal schedule.
  • Your responsibility. You must have the rights to the content you save and upload, and it must not break the law or infringe anyone's rights.

5. AI features

AI output can be wrong, incomplete or out of date. Check important information before relying on it. Output is not professional advice (for example legal, medical or financial advice). You are responsible for how you use it.

6. Acceptable use

You agree not to:

  • break the law or infringe others' rights using the Service;
  • upload malware, or try to gain unauthorized access to the Service, other accounts, or our systems;
  • overload, scrape or reverse engineer the Service, or get around usage limits, except as the law allows;
  • use the Service to send spam or to harass, threaten or exploit anyone, including minors;
  • resell or share access to a paid plan outside what that plan allows.

7. Paid plans, automatic renewal and cancellation

  • Automatic renewal. Paid plans (Plus, Pro and others shown on the pricing page) are subscriptions billed monthly or yearly. Your subscription renews automatically at the end of each billing period, and we charge the payment method on file at the then-current price, until you cancel. Prices are shown before any applicable taxes.
  • How to cancel. Cancel anytime in Settings → Billing → Manage subscription, which opens our billing portal, or email support@mymemory.dev. Cancellation takes effect at the end of the period you have paid for; you keep the plan until then.
  • Refunds. Except where the law requires otherwise, payments are non-refundable and we do not give partial refunds for unused time. If you believe you were charged in error, contact us within 30 days.
  • Plan changes. Upgrades take effect immediately and are prorated as described on the pricing page. Downgrades take effect at the end of the current period.
  • Price changes. We will tell you by email or in the app before a price change applies to your subscription, so you can cancel before it takes effect.
  • Free access. If you get a paid plan free or discounted with a promotion code, the discount ends after the period it states. After that, the plan renews at the regular price if you have added a payment method; if not, or if a payment fails and isn't fixed, your account moves to the Free plan.
  • Limits. Free and paid plans have usage limits described on the pricing page. We may change limits with notice. If your account moves to a plan with lower limits and you are over them, we do not delete anything: everything you saved stays available to view, search and export, but you can't add more of what is over the limit until you are back under it or upgrade.
  • Payments are processed by our third-party payment processor; we do not store your full card details.

8. Copyright complaints (DMCA)

We respect copyright and respond to notices under the Digital Millennium Copyright Act. If you believe content on the Service infringes your copyright, send a notice to our designated agent that includes: your physical or electronic signature; identification of the copyrighted work; identification of the infringing material and enough information for us to locate it; your contact information; a statement that you have a good-faith belief the use is not authorized by the owner, its agent or the law; and a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act for the owner.

If your content was removed and you believe that was a mistake, you may send a counter-notice to the same address. We terminate the accounts of repeat infringers in appropriate circumstances.

9. Our intellectual property

The Service, including its software, design and trademarks, belongs to Rock Nest LLC or its licensors. These terms do not give you any right to our trademarks or to the Service beyond using it as allowed here.

10. Ending your use

You can stop using the Service and delete your account at any time from Settings. We may suspend or end your access if you break these terms, create risk or legal exposure for us or others, or if we stop offering the Service. Where reasonable, we will tell you first and give you a chance to export Your Content.

11. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Service will be uninterrupted or error-free, or that content will never be lost; keep your own copies of anything important.

12. Limitation of liability

To the fullest extent the law allows, Rock Nest LLC will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or US $100. Some places do not allow these limits, so they may not apply to you.

13. Indemnity

To the extent the law allows, you agree to defend and indemnify Rock Nest LLC against claims and costs arising from Your Content or your breach of these terms.

14. Governing law

These terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law rules. Disputes will be handled in the state or federal courts located in New Jersey, unless the law where you live gives you the right to bring a claim in your local courts.

15. Changes to these terms

We may update these terms. If a change is material, we will tell you by email or in the app before it takes effect. Continuing to use the Service after that means you accept the new terms.
